OnetraX – Kullanım Koşulları

1. Taraflar ve Kabul

Bu Kullanım Koşulları ("Koşullar"), ticari markası OnetraX olan Mustafa Ece ("biz", "OnetraX") — şahıs şirketi kuruluşu tamamlanana kadar gerçek kişi olarak faaliyet göstermektedir — ile OnetraX filo yönetim yazılımını ("Hizmet") kullanan gerçek/tüzel kişi ("Kullanıcı", "siz") arasındaki ilişkiyi düzenler. Hizmete kaydolarak veya kullanarak bu Koşulları kabul etmiş sayılırsınız. Hizmet, işletmelere yönelik (B2B) bir SaaS ürünüdür.

2. Hizmetin Tanımı

OnetraX, uluslararası/yurt içi nakliye yapan lojistik firmaları için tasarlanmış, tarayıcı üzerinden erişilen bulut tabanlı bir filo yönetim yazılımıdır: araç, dorse, sevkiyat, şoför, gider ve belge takibi. Hizmet abonelik esasıyla sunulur ve kurulum gerektirmez.

3. Hesap Oluşturma ve Sorumluluklar

• Kayıt sırasında verdiğiniz bilgilerin (firma adı, yetkili kişi, e-posta vb.) doğru ve güncel olmasından siz sorumlusunuz.
• Hesap kimlik bilgilerinizin (şifre) gizliliğinden ve hesabınız altında gerçekleşen tüm işlemlerden siz sorumlusunuz.
• Ekibiniz için oluşturduğunuz kullanıcıların (Yönetici/Çalışan) davranışlarından da siz sorumlusunuz.

4. Ücretsiz Deneme

Yeni hesaplar 14 günlük ücretsiz deneme ile başlar; kredi kartı istenmez. Deneme süresi sonunda bir plan seçilmezse hesap salt-okunur moda geçer: mevcut verileriniz korunur, yalnızca yeni kayıt ekleyemezsiniz.

5. Abonelik, Ücretlendirme ve Faturalama

• Abonelik aylık veya yıllık olarak satın alınabilir; yıllık ödemede indirim uygulanabilir. Uzun süreli sözleşme veya taahhüt zorunluluğu yoktur.
• Ücretler önceden ilan edilir; fiyat değişiklikleri mevcut faturalama döneminizi etkilemez, ancak sonraki döneme yansıyabilir.
• Avrupa Birliği'ndeki müşteriler için: ödeme ve faturalama süreci, satışın hukuki tarafı ("Merchant of Record") sıfatıyla hareket eden Ruul Inc. üzerinden yürütülür; bu işlemler ayrıca Ruul'un kendi hizmet şartlarına tabidir.
• Türkiye'deki müşteriler için: ödeme, seçilecek yerli ödeme kuruluşu üzerinden tahsil edilir. Kart bilgileriniz tarafımızca görülmez veya saklanmaz.
• Her ödeme için usulüne uygun fatura düzenlenir (TR için e-fatura/e-arşiv, yurt dışı müşteriler için uluslararası fatura).

6. İptal ve Sona Erme

• Aboneliğinizi dilediğiniz zaman iptal edebilirsiniz; cayma bedeli veya ek taahhüt yoktur.
• İptal, aksi belirtilmedikçe mevcut faturalama döneminin sonunda geçerli olur.
• Hesap kapandıktan sonra verileriniz 30 gün süreyle saklanır; bu süre içinde KVKK/GDPR kapsamındaki veri erişim hakkınız çerçevesinde talebinizi değerlendiririz. Otomatik bir dışa aktarma özelliği şu anda bulunmamaktadır. Sürenin sonunda verileriniz kalıcı olarak silinir.

7. Kullanım Kısıtlamaları

Hizmeti; yasa dışı faaliyetler için, yetkisiz erişim denemeleri amacıyla, Hizmetin normal işleyişini bozacak şekilde, üçüncü kişilerin fikri mülkiyet haklarını ihlal edecek biçimde veya tersine mühendislik yoluyla kullanamazsınız.

8. Kullanıcı Verileri ve Fikri Mülkiyet

• Hizmete yüklediğiniz tüm operasyonel veriler (araç, sürücü, sevkiyat, belge vb.) size aittir. Bu veriler bakımından veri sorumlusu sizsiniz, biz veri işleyen sıfatıyla hareket ederiz.
• Tarafların bu sıfatlardan doğan karşılıklı hak ve yükümlülükleri Veri İşleyen Sözleşmesi ile düzenlenir. Anılan sözleşme ve eki olan Alt Veri İşleyen Listesi, işbu Kullanım Koşulları'nın ayrılmaz ekleridir; Kullanım Koşulları'nı kabul etmekle bunları da kabul etmiş olursunuz. Kişisel verilerin korunmasına ilişkin bir çelişki hâlinde Veri İşleyen Sözleşmesi hükümleri uygulanır.
• Hizmetin yazılımı, arayüz tasarımı, markası ve alt yapısı üzerindeki tüm fikri mülkiyet hakları bize aittir. Hizmet, size yalnızca abonelik süreniz boyunca geçerli, sınırlı ve devredilemez bir kullanım hakkı (lisans) tanır.

9. Hizmetin Sürekli Geliştirilmesi

Hizmet düzenli olarak güncellenir; yeni özellikler ek ücret talep edilmeksizin mevcut abonelere sunulur. Hizmetin kapsamında zaman zaman değişiklik yapma hakkımız saklıdır; mevcut verilerinizin sürekliliği gözetilir.

10. Hizmet Kesintileri

Hizmet çevrimiçi çalışır ve internet bağlantısı gerektirir. Planlı bakım, altyapı sağlayıcısı kaynaklı kesintiler veya mücbir sebeplerden doğan aksaklıklardan sorumlu tutulamayız; bu durumlarda makul çabayla önceden bilgilendirme yapılır.

11. Sorumluluğun Sınırlandırılması

Hizmet "olduğu gibi" sunulur. Yürürlükteki mevzuatın izin verdiği azami ölçüde; dolaylı, arızi veya sonuç niteliğindeki zararlardan (kâr kaybı, iş kaybı, veri kaybı vb.) sorumlu tutulamayız. Herhangi bir sorumluluğumuz, varsa, ilgili faturalama döneminde ödediğiniz abonelik ücretiyle sınırlıdır.

12. Fesih

Bu Koşulları ihlal etmeniz hâlinde hesabınızı askıya alabilir veya sonlandırabiliriz; mümkün olduğu ölçüde önceden bilgilendirme yapılır. Siz de aboneliğinizi dilediğiniz zaman sonlandırabilirsiniz (bkz. Madde 6).

13. Uygulanacak Hukuk ve Yetkili Mahkeme

Bu Koşullar Türkiye Cumhuriyeti hukukuna tabidir. Bu Koşullardan doğan uyuşmazlıklarda İzmir Mahkemeleri ve İcra Daireleri yetkilidir.

14. Değişiklikler

Bu Koşullar zaman zaman güncellenebilir; önemli değişiklikler Site üzerinden duyurulur. Değişiklik sonrası Hizmeti kullanmaya devam etmeniz, güncel Koşulları kabul ettiğiniz anlamına gelir.

OnetraX – Terms of Use

This is an English translation of our Turkish-language Terms of Use ("Kullanım Koşulları"). In case of any inconsistency between the two versions, the Turkish original prevails, and this agreement is governed by Turkish law (see Section 13).

1. Parties and Acceptance

These Terms of Use ("Terms") govern the relationship between Mustafa Ece, trading as OnetraX ("we", "OnetraX") — currently operating as a natural person pending sole proprietorship registration —, and the individual/legal entity using the OnetraX fleet management software ("Service") ("User", "you"). By registering for or using the Service, you accept these Terms. The Service is a B2B SaaS product intended for businesses.

2. Description of the Service

OnetraX is a cloud-based, browser-accessed fleet management software designed for international/domestic logistics companies: vehicle, trailer, shipment, driver, expense and document tracking. The Service is subscription-based and requires no installation.

3. Account Creation and Responsibilities

• You are responsible for the accuracy and currency of the information you provide at sign-up (company name, authorized contact, email, etc.).
• You are responsible for the confidentiality of your account credentials (password) and for all activity under your account.
• You are responsible for the conduct of the users (Admin/Employee) you create within your team.

4. Free Trial

New accounts start with a 14-day free trial; no credit card is required. If no plan is selected by the end of the trial, the account switches to read-only mode: your existing data is preserved, but you cannot add new records.

5. Subscription, Pricing and Billing

• Subscriptions can be purchased monthly or annually; annual payment may be discounted. There is no long-term contract or commitment requirement.
• Prices are announced in advance; price changes do not affect your current billing period but may apply to the next one.
• For customers in the European Union: payment and billing is handled through Ruul Inc., which acts as the Merchant of Record (the legal party to the sale); these transactions are additionally subject to Ruul's own terms of service.
• For customers in Turkey: payment is collected through a local payment provider to be selected. We never see or store your card details.
• A proper invoice is issued for every payment (e-invoice/e-archive for Turkish customers, an international invoice for customers abroad).

6. Cancellation and Termination

• You may cancel your subscription at any time; there is no cancellation fee or further commitment.
• Unless otherwise stated, cancellation takes effect at the end of the current billing period.
• After account closure, your data is retained for 30 days, during which we evaluate any request under your KVKK/GDPR data access rights. There is no automatic export feature at this time. Your data is then permanently deleted.

7. Restrictions on Use

You may not use the Service for unlawful activities, unauthorized access attempts, actions that disrupt the normal operation of the Service, infringement of third-party intellectual property rights, or reverse engineering.

8. User Data and Intellectual Property

• All operational data you upload to the Service (vehicles, drivers, shipments, documents, etc.) belongs to you. For that data, you are the data controller, and we act as data processor.
• The mutual rights and obligations arising from these roles are governed by the Data Processing Agreement. That agreement and its annex, the Sub-processor List, form integral annexes to these Terms of Use; by accepting these Terms you also accept them. In the event of a conflict concerning the protection of personal data, the Data Processing Agreement prevails.
• All intellectual property rights in the Service's software, interface design, brand and infrastructure belong to us. The Service grants you only a limited, non-transferable right to use it for the duration of your subscription.

9. Continuous Improvement of the Service

The Service is updated regularly; new features are made available to existing subscribers at no additional cost. We reserve the right to change the scope of the Service from time to time, while preserving the continuity of your existing data.

10. Service Availability

The Service operates online and requires an internet connection. We are not liable for interruptions caused by planned maintenance, our infrastructure provider, or force majeure events; we will make reasonable efforts to notify you in advance in such cases.

11. Limitation of Liability

The Service is provided "as is." To the maximum extent permitted by applicable law, we are not liable for indirect, incidental, or consequential damages (including loss of profit, business, or data). Our total liability, if any, is limited to the subscription fee you paid for the relevant billing period.

12. Termination

We may suspend or terminate your account if you breach these Terms; we will provide advance notice where reasonably possible. You may also terminate your subscription at any time (see Section 6).

13. Governing Law and Jurisdiction

These Terms are governed by the laws of the Republic of Turkey. Disputes arising from these Terms are subject to the exclusive jurisdiction of the courts and enforcement offices of İzmir, Turkey.

14. Changes

These Terms may be updated from time to time; material changes will be announced on the Site. Continued use of the Service after a change constitutes acceptance of the updated Terms.
